This just happened in my guild, so I know the rules. It is 28 days with an inactive guild leader, then the guild falls to the next highest ranked active subscriber. (That is active in the last 28 days.) If no subscriber, it falls to the highest ranked active unsubscribed player. This is direct from cust srvc, and it is how it worked for my guild.
